Terms of service

1. About these terms
These Terms apply to sourcingbyyork.com and the B2B sourcing services provided by 义乌市玉珍国际贸易有限公司, trading as York Sourcing (“we”, “us” or “our”), from Yiwu, Zhejiang, China.
By submitting a request, accepting a quotation, paying a fee or instructing us to start, you confirm you act for a business and accept these Terms, the written project scope, our Privacy and Cookie Policy and Service and Refund Policy. A project-specific written scope controls if it expressly conflicts with these general Terms.
2. Service scope
Depending on the agreed scope, services may include supplier research and comparison, basic screening, sample purchasing, basic visible checks, private-label coordination, order follow-up, consolidation and shipping coordination. A free fit review assesses whether the product, quantity, budget and destination suit our service; it does not include supplier identities, factory quotations or detailed research.
Only tasks in the written quotation or scope are included. Factory audits, AQL inspections, laboratory testing, certification, legal or regulatory advice, engineering, design and deep customisation are excluded unless quoted in writing.
3. Fees and payment
Current fees appear on the relevant country page or quotation. Unless agreed otherwise: service fees and estimated third-party costs are prepaid; supplier development, sample coordination and order execution are separate scopes; products, samples, China delivery, international freight, payment charges, duties, VAT, inspection, testing and certification are separate; and the bulk-order percentage applies only to supplier-invoice goods value. Complex projects may require a revised quotation approved before work continues.
Work starts after cleared payment and the first agreed task begins. Refunds, cancellations, pass-through funds and payment charges are governed by our Service and Refund Policy.
4. Client responsibilities
You must provide accurate product references, specifications, quantities, packaging, destination, timing and mandatory compliance requirements, and approve supplier options, samples, specifications, labels, quotations and shipping instructions before we proceed.
You are responsible for acting as or appointing the importer of record, confirming import eligibility, paying duties and taxes, and ensuring the product, packaging, labelling, intellectual property, testing, certification and sale comply in the destination market. You confirm you may lawfully use all brands, logos, images, designs and files supplied to us. We may decline unlawful, counterfeit, infringing or unacceptably risky work.
5. Suppliers, samples and checks
Factories, laboratories, inspectors, payment providers and carriers are independent third parties. Unless expressly agreed, we are not the manufacturer, laboratory, certification body, customs broker, insurer or carrier. Quotations and availability may change with materials, quantity, exchange rates, capacity, seasonality or specifications. A sample does not guarantee every bulk unit will be identical.
Standard checks are basic visible checks where practical; they do not replace an AQL inspection, laboratory test, certification or technical acceptance. We can coordinate independent providers at additional cost.
6. Orders, changes and cancellation
No supplier purchase is made until you approve the product, quantity and cost and provide cleared funds. Once an order, customisation or shipment is placed, changes and cancellation depend on the relevant third party and may involve non-refundable costs. Changes to the brief, quantity, material, packaging, destination or timing may require revised fees and timelines. We may pause or close a project if required information or payment remains outstanding for 30 days.
7. Shipping, customs and delivery
Freight prices, transit times and dates are estimates unless a carrier guarantees them. Delays may arise from production, customs, carriers, weather, holidays, force majeure or other events beyond our control. Shipment terms, insurance, customs responsibility and risk transfer are confirmed for each shipment. Inspect goods promptly and provide photos and documents for shortages or damage; any recovery depends on the responsible third party.
8. Restricted projects
We do not accept counterfeit goods, unauthorised vehicle logos, safety-critical vehicle parts, attempts to avoid compliance duties or unlawful products. We may decline high-risk fitment, mechanical, battery, wireless or active-safety products without an adequate testing and risk-control plan.
9. Intellectual property and confidentiality
Each party retains its existing intellectual property. You may use reports, comparisons, photos and project materials internally for purchasing decisions, but may not resell our supplier research as a database or service without permission. We use reasonable care with non-public commercial information. Confidentiality excludes information already public, lawfully received, independently developed or legally required to be disclosed.
10. Website and third-party services
Shopify hosts the website. Payment, messaging, analytics and other functions may be provided by third parties whose terms and policies also apply. Website information is general guidance and may change without notice.
11. Liability
Nothing excludes liability that cannot legally be excluded. To the fullest extent permitted, we are not liable for indirect, incidental, special or consequential loss, lost profit, sales or opportunity, or loss caused by an independent supplier, carrier, customs authority or other third party. Our total liability for a project will not exceed the service fees actually paid for the specific paid scope giving rise to the claim. This cap does not apply to fraud, wilful misconduct or liability that law does not allow us to limit.
12. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including disaster, epidemic restriction, war, labour or government action, customs or port disruption, carrier disruption, network failure or shortages. The affected party will take reasonable steps to reduce the impact.
13. Governing law and disputes
Unless mandatory law requires otherwise, these Terms and related services are governed by the laws of the People’s Republic of China. The parties will first try to resolve disputes through written discussion; unresolved disputes may be submitted to a court with competent jurisdiction in Yiwu, Zhejiang, China.
14. Changes
We may publish revised Terms. The version accepted when paid work starts continues to govern that project unless the parties agree otherwise in writing.
